1. Your Relationship with VMBoatRental

Your use of VMBoatRental's products, software, services, website, and any mobile applications (collectively, the "Services") is subject to the terms of this Terms of Use Agreement. VMBoatRental means V&M Charters, LLC d/b/a VMBoatRental ("VMBoatRental," "us," "we," or "our"). If you are using the Services on behalf of a corporation or other legal entity, "you" means the entity, and the user warrants that he or she has authority to bind the entity.

By using the Services, you agree to these Terms and our Privacy Policy. If you do not agree to all Terms, you are not authorized to use the Services. You accept the Terms by clicking to accept where available, or by using the Services.

IMPORTANT NOTICE: VMBOATRENTAL IS A MARKETPLACE PLATFORM ONLY AND IS NOT A PARTY TO ANY RENTAL AGREEMENT, CHARTER AGREEMENT, WAIVER, OR OTHER TRANSACTION BETWEEN USERS OF THE SERVICES.

2. Platform Disclaimer

VMBoatRental serves strictly as a technology platform and advertising marketplace. Unless explicitly stated otherwise in writing, VMBoatRental does not own, maintain, inspect, captain, charter, lease, or control vessels listed by independent users. All bookings, rentals, charters, and agreements are entered into directly between the participating users. VMBoatRental is not responsible for the conduct, actions, omissions, safety practices, seaworthiness, licensing, insurance status, or legal compliance of any renter, captain, owner, operator, passenger, or third party.

Users understand and agree that they participate in boating activities entirely at their own risk. VMBoatRental does not guarantee: availability of any vessel; accuracy of listings or pricing; safety or suitability of any vessel; compliance with local boating laws; weather conditions; or the behavior or qualifications of any user. Users are solely responsible for conducting their own due diligence before participating in any transaction or boating activity.

3. Separate Agreements

Users may be required to enter into separate rental agreements, waivers, or release forms directly between Renters and Members before completing a reservation. Any such agreements are solely between those parties and not VMBoatRental.

4. Assumption of Risk and Indemnification

Boating, watersports, and marine activities involve obvious and unavoidable risks that may result in injury, illness, death, emotional distress, property damage, drowning, collision, equipment failure, or other losses. By using the Services, each user knowingly and voluntarily assumes all risks associated with participating in boating activities.

To the fullest extent permitted by law, users agree to defend, indemnify, and hold harmless VMBoatRental, V&M Charters, LLC, and their owners, managers, employees, contractors, affiliates, successors, and agents from and against any claims, liabilities, damages, judgments, penalties, expenses, or legal fees arising out of: use of the Services; any booking or boating activity; violations of these Terms; personal injury or property damage; disputes between users; or negligence or misconduct of users or third parties.

5. Insurance Disclaimer

VMBoatRental is not an insurance provider, broker, or agent. Any insurance purchased in connection with rentals is solely between the user and the insurance provider. VMBoatRental makes no guarantees regarding coverage or claims.

6. Conditions of Use

As a condition of using the Services, you represent and warrant that: you are at least 18 years old; you possess legal authority to enter binding agreements; you will comply with all applicable boating laws and regulations; all information you provide is accurate and complete; you will use the Services only for lawful purposes; and if operating a boat, you are legally qualified and competent to do so.

VMBoatRental reserves the right, in its sole discretion, to suspend, restrict, or terminate access to the Services at any time and without prior notice for violations of these Terms, suspected fraud, safety concerns, unlawful conduct, or any other reason deemed necessary to protect the platform or its users.

7. User Accounts

Users are responsible for maintaining the confidentiality of their account credentials. You are responsible for all activities occurring under your account.

8. Prohibited Conduct

Users may not, directly or indirectly: provide false information; use the platform for unlawful purposes; circumvent the platform to avoid service fees; upload malicious software or harmful content; harass, threaten, or impersonate others; or scrape or copy platform content without authorization.

9. Payments

VMBoatRental may facilitate payment processing through third-party payment processors. By submitting payment information, you authorize VMBoatRental and its payment processors to charge applicable amounts, including rental charges, taxes, fees, deposits, and other authorized charges.

10. Security Deposits

Renters may be required to provide security deposits. If damage occurs during a rental, VMBoatRental may facilitate collection or withholding of funds based on evidence provided.

11. Service Fees

VMBoatRental may charge platform fees, booking fees, processing fees, or currency conversion fees. All fees are disclosed before checkout and may change at any time.

12. Cancellation Policy

Each listing may contain its own cancellation terms established by the vessel owner or operator. If no separate cancellation policy is provided, the following default terms apply:

• Flexible: Full refund for cancellations at least 24 hours before departure; 50% refund within 24 hours.
• Moderate: Full refund at least 7 days before departure; 75% refund between 48 hours and 7 days; 50% within 48 hours.
• Strict: 75% refund at least 7 days before departure; 50% between 48 hours and 7 days; 25% within 48 hours.

Processing fees and marketplace fees may be retained by VMBoatRental. VMBoatRental reserves the right to issue credits or refunds at its sole discretion in situations involving fraud, safety concerns, duplicate bookings, or operational issues.

13. Weather Policy

Captains and boat owners have sole discretion regarding whether conditions are safe. If a trip is canceled due to unsafe weather before departure, Renters may receive a full refund or a rescheduled booking. If a Renter voluntarily cancels despite safe operating conditions, standard cancellation terms apply.

14. Taxes

Users are responsible for determining and complying with tax obligations related to rentals. VMBoatRental may collect and remit taxes where required by law.

15. Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any booking facilitated through VMBoatRental shall be resolved exclusively through final and binding arbitration on an individual basis. Users waive the right to jury trials, class actions, and collective proceedings. Arbitration shall be administered by the American Arbitration Association unless otherwise required by law.

16. Identity Verification

VMBoatRental may request identity verification documents from users. VMBoatRental does not guarantee the identity or background of any user.

17. Disclaimer of Warranties

THE SERVICES, WEBSITE, MOBILE APPLICATIONS, CONTENT, AND ALL BOOKINGS ARE PROVIDED WITHOUT GUARANTEES OF ANY KIND. VMBOATRENTAL EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT. Users access and use the Services entirely at their own risk.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VMBOATRENTAL SHALL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES, LOST PROFITS, PERSONAL INJURY, PROPERTY DAMAGE, DEATH, BOATING ACCIDENTS, OR USER MISCONDUCT. VMBOATRENTAL'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF FEES PAID TO VMBOATRENTAL OR $100 USD.

19. Intellectual Property

All platform content, including logos, graphics, text, software, and branding, are owned by or licensed to VMBoatRental. Users may not reproduce or distribute platform content without written permission.

20. Third-Party Links

The Services may contain links to third-party websites or services. VMBoatRental is not responsible for third-party content or services.

21. Compliance with Laws

Users agree to comply with all applicable federal, state, and local laws.

22. Governing Law & Venue

These Terms shall be governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Any legal proceedings not subject to arbitration shall be brought exclusively in Illinois.

23. Force Majeure

VMBoatRental shall not be liable for delays or failures caused by events outside its reasonable control, including weather, natural disasters, governmental actions, labor disputes, mechanical failures, or other force majeure events.

24. Severability & Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect. These Terms constitute the entire agreement between users and VMBoatRental regarding the Services.

25. Termination

VMBoatRental may suspend or terminate access to the Services at any time for violations of these Terms.
